Agreement to these Terms
These Terms of Service are an agreement between you and Oglofus Ltd, a company registered in England and Wales (company no. 14840351) with its registered office at 25 Easten Terrace, Wallsend, NE28 0JW, which operates the Chaviar service. "Chaviar", "we", "us", and "our" refer to Oglofus Ltd. By accessing or using Chaviar, creating an account, starting onboarding, connecting a site or social account, generating content, or paying for a plan, you agree to these Terms.
If you use Chaviar on behalf of a company, brand, agency, client, or other organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.
You may not use Chaviar if you are under 18, if you cannot form a binding contract, or if using Chaviar would violate laws or rules that apply to you.
The Chaviar service
Chaviar helps teams turn brand materials into platform-native marketing content. The service may scan public web pages, capture authorized behind-login screens, analyze brand voice, build a brand kit, generate captions and images, maintain a content approval queue, schedule content, and publish to connected channels where supported.
Some features are in development, beta, stubbed, limited by plan, or dependent on third-party approval. We may add, change, suspend, or discontinue features at any time. We will try to avoid disrupting paid customers where practical, but Chaviar is provided as a hosted software service that evolves over time.
Accounts and workspaces
You are responsible for your account, your workspace members, and activity under your account. Keep your sign-in methods secure, use accurate account information, and promptly tell us about unauthorized access.
Each brand may be associated with its own workspace, plan, connected websites, generated content, assets, schedules, and integrations. You are responsible for making sure every user you invite has the right authority for the brands and accounts they can access.
Your content and permissions
You retain ownership of the brand materials, prompts, screenshots, uploads, logos, product data, gallery images, connected-account data, generated drafts, and other content that you provide to Chaviar or authorize Chaviar to collect for you ("Customer Content").
You grant Chaviar a worldwide, non-exclusive license to host, copy, process, transmit, display, analyze, transform, generate from, and otherwise use Customer Content as needed to provide, secure, support, and improve the service and to enforce these Terms.
You represent and warrant that:
- You have all rights, permissions, and authority needed to submit or authorize collection of Customer Content.
- Your use of Chaviar will not violate any third-party rights, platform rules, contracts, or laws.
- You will not connect accounts, websites, apps, or social channels that you are not authorized to access.
- You will not submit sensitive personal information unless you have a lawful basis and a real business need.
Browser capture and site scanning
When you choose to connect a login-walled site, Chaviar may provide a controlled remote browser that you use to log in yourself. You authorize Chaviar to capture the resulting browser session state and use it to scan and screenshot the connected site for your brand catalog. Chaviar does not ask for your password.
You must not use browser capture to access accounts, data, systems, or content that you do not have the right to use for Chaviar. You are responsible for the terms and policies of the websites and services you connect.
AI-generated output
Chaviar uses AI systems to analyze inputs and generate drafts, images, prompts, captions, and other marketing assets. AI output can be inaccurate, incomplete, offensive, non-compliant with platform rules, or similar to output produced for other users.
You are responsible for reviewing and approving output before using, scheduling, publishing, advertising, or relying on it. Chaviar does not provide legal, medical, financial, professional, or regulatory advice, and AI output should not be treated as a substitute for professional review.
Subject to your compliance with these Terms and applicable law, you may use output generated for your account for your business purposes. You are responsible for determining whether output is suitable for your use, including whether it infringes rights, contains required disclosures, or complies with ad, consumer protection, platform, industry, or professional rules.
Automation, auto-pilot, and scheduling
Chaviar can run background automation ("auto-pilot") that plans and drafts content for a brand on a recurring basis. You control whether auto-pilot is on, how much of your plan allowance it may use, which channels it targets, and which topics it avoids. Auto-pilot drafts land in your review queue — Chaviar does not post, schedule, publish, or advertise auto-pilot drafts without your action, except where you separately enable an automatic-publishing feature.
Automated drafting consumes your metered creative allowance the same way manual generation does, and generated drafts count against your allowance whether or not you review, approve, schedule, or publish them. To protect the portion of your allowance reserved for manual work, Chaviar caps how much auto-pilot may use and may batch, delay, reduce, or skip automated runs to respect that reserve, stay within plan limits, manage capacity, or because no channel is connected.
If no channel is connected, or a connection expires or loses permission, Chaviar may wait to draft, draft without delivering, or hold delivery until you connect or reconnect a channel. You are responsible for keeping connections active and for reviewing automated content before it is used. Allowances, reserves, caps, batch timing, and automation behavior may change as the service evolves.
Third-party services and integrations
Chaviar works with third-party services such as payment processors, email providers, storage providers, AI model providers, identity providers, and social platforms. Connected integrations may require you to accept the third party's own terms, privacy policy, scopes, permissions, app review rules, and usage limits.
We are not responsible for third-party services, and we do not control their availability, policies, content moderation, rate limits, account decisions, billing systems, or platform enforcement. If a third-party service changes or stops supporting an integration, Chaviar may lose some functionality.
Plans, billing, and top-ups
Paid plans, trials, included usage, top-ups, renewal periods, and prices are shown in the app or at checkout. Payments are processed by Stripe or another payment provider we designate. You authorize us and our payment processor to charge the payment method you provide for recurring subscriptions, top-ups, taxes, and other applicable fees.
Subscriptions renew automatically unless cancelled before the renewal date. You can cancel or manage a paid plan through the billing settings where available. Cancellation stops future renewals but does not automatically refund past charges, except where required by law or expressly stated at checkout.
Usage limits and allowances are measured by the service records. Both manual and automated generation draw from the same allowance, and generated content counts against it whether or not it is reviewed, approved, or published. Generation allowances and top-ups are tied to a specific brand and cannot be transferred between brands or accounts. Unused monthly allowance and one-time top-up tokens roll over and stay available for a limited time — currently three months from when each is granted or purchased — after which they expire and are forfeited with no cash value or refund; when you generate, we draw from your soonest-to-expire tokens first. Token grants are a license to use the service, not stored money, and are non-refundable except where required by law or stated at checkout. Allowances, top-up sizes, prices, rollover windows, and expiry rules may change as the service evolves. We may refuse, reverse, or suspend credits that result from payment failure, chargeback, fraud, abuse, or configuration errors.
Acceptable use
You must not use Chaviar to:
- Break laws, infringe rights, violate platform rules, or breach contracts.
- Generate or publish deceptive, fraudulent, defamatory, harassing, hateful, exploitative, or illegal content.
- Send spam, manipulate engagement, impersonate others, or operate unauthorized accounts.
- Access, scan, crawl, scrape, or capture systems you do not have permission to use.
- Upload malware, attempt to bypass security, attack infrastructure, or use Chaviar as a proxy.
- Submit payment information, health information, government identifiers, or other highly sensitive data without authorization and necessity.
- Reverse engineer, overload, resell, sublicense, or misuse the service except as allowed by law or written agreement.
- Use Chaviar to make automated decisions with legal or similarly significant effects about individuals.
We may investigate suspected misuse and suspend, limit, or terminate access where we believe it is necessary to protect Chaviar, users, third parties, platforms, or the public.
Availability and support
We aim to provide a reliable service, but Chaviar may be unavailable, delayed, or degraded because of maintenance, third-party outages, model-provider latency, billing-provider issues, platform API changes, worker failures, rate limits, network issues, security incidents, or events outside our control.
We may provide support through in-app flows, email, or other channels we designate. We do not guarantee any specific response time unless a separate written agreement says so.
Suspension and termination
You may stop using Chaviar at any time. We may suspend or terminate access if you violate these Terms, fail to pay, create security or legal risk, misuse integrations, or use the service in a way that could harm Chaviar, users, third parties, platforms, or infrastructure.
After termination, we may delete or retain account and Customer Content according to our Privacy Policy, legal obligations, backup practices, dispute needs, and legitimate business purposes. Sections that by their nature should survive termination will survive, including content licenses needed for prior operation, payment obligations, disclaimers, liability limits, indemnity, and dispute terms.
Disclaimers
Chaviar is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.
Limitation of liability
To the fullest extent allowed by law, Chaviar will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, content, business opportunities, or platform accounts.
To the fullest extent allowed by law, Chaviar's total liability for all claims arising out of or related to the service or these Terms will not exceed the greater of 100 USD or the amount you paid to Chaviar for the service in the three months before the event giving rise to the claim.
Indemnity
If you use Chaviar on behalf of a business, you will indemnify and hold Chaviar harmless from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from your Customer Content, your use of Chaviar, your connected accounts, your published content, your breach of these Terms, or your violation of law or third-party rights.
Governing terms
If you have a separate written agreement with Chaviar, that agreement controls where it conflicts with these Terms. Otherwise, these Terms are governed by the laws of England and Wales, except where mandatory local law provides otherwise.
Before bringing a formal claim, you agree to contact us and try to resolve the dispute informally. This does not limit either party's right to seek urgent injunctive or equitable relief where appropriate.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice as required by law or through the service. Continued use of Chaviar after updated Terms take effect means you accept the updated Terms.
